Executive Data Council® is operated by Verivent LLC. Executive Data Council® is a registered trademark of Verivent LLC.
These Terms of Use ("Terms") are a binding agreement between you and Verivent LLC ("Verivent"). Verivent operates Executive Data Council® ("EDC"). By accessing or using an EDC website, submitting a form that expressly incorporates these Terms, or using website content, you agree to these Terms. If you do not agree, do not use the website.
1. Eligibility and professional use
The website and EDC programs are intended primarily for adults acting in professional or business capacities. You must be at least 18 years old to submit an application, enter into an agreement with EDC or participate in a professional EDC program unless EDC expressly agrees otherwise in writing.
2. Applications, invitations and program discretion
Submitting an application, nomination, inquiry or registration does not guarantee acceptance, attendance, membership, an introduction, a commercial opportunity or any other outcome. EDC may accept, decline, prioritize, waitlist, remove or reassign participation in its discretion, subject to applicable law and any specific written agreement.
3. Program-specific agreements control
Councils, events, EDC Circle, enterprise training, advisor appointments, partner engagements, research participation, media activity and EDC Connect may be governed by additional written terms. Those specific terms control over these Terms for the subject they address. EDC's Participant Confidentiality Standard, Attribution and Publication Standard, Council Code of Conduct, Partner Participation Standard and Photo & Media Consent Standard may also be incorporated into a program agreement or registration.
4. Protected sessions and confidentiality
A website visit alone does not make you a participant in a protected EDC session. If you attend a program designated as protected, you must comply with the confidentiality, recording, attribution, antitrust and conduct rules presented or incorporated into your registration or participation agreement. You may not use the website or an EDC program to obtain, scrape, harvest or repurpose participant information for unsolicited marketing, recruiting or prospecting.
5. Intellectual property
The website, EDC name and marks, EDC Insights, methodologies, frameworks, questionnaires, research instruments, templates, graphics, program structures, training materials and other EDC-created content are owned by or licensed to EDC and are protected by intellectual-property laws. Except as expressly permitted, you may not copy, publish, sell, distribute, create derivative commercial products from, scrape, data-mine, train a machine-learning model on, or systematically extract EDC content.
EDC grants you a limited, revocable, non-exclusive, non-transferable license to access publicly available website content for lawful personal or internal business evaluation. A separate agreement may grant broader internal-use rights for paid deliverables.
6. User submissions
You retain ownership of materials you submit. You represent that you have the right to submit them and that they do not violate law or another party's rights or obligations. You grant EDC the limited rights reasonably necessary to process the submission for the purpose for which it was provided. Protected-program and research submissions remain subject to the applicable confidentiality, attribution and research terms.
7. Prohibited conduct
- +Use the website or EDC services unlawfully, fraudulently or to misrepresent identity, authority or affiliation.
- +Probe, scan, bypass, interfere with or attempt unauthorized access to EDC systems or another user's information.
- +Deploy bots, scrapers, automated extraction, credential harvesting, malware or unauthorized AI agents against the website.
- +Collect participant, advisor, partner or provider information for unsolicited mass outreach or resale.
- +Infringe intellectual-property, privacy, publicity, confidentiality or contractual rights.
- +Upload restricted, malicious, unlawful or materially false content.
- +Use EDC materials or relationships to imply endorsement not expressly authorized by EDC or the relevant person/organization.
8. EDC Connect, partners and providers
EDC may screen or curate providers, opportunities and strategic needs, but EDC is not the buyer's procurement, cybersecurity, legal, compliance, model-risk, investment or technical advisor and does not guarantee provider performance, enterprise adoption, revenue, introductions or transactions. Unless expressly stated in a separate written agreement, an EDC relationship is not an endorsement, certification, fiduciary relationship, agency or brokerage relationship.
9. Informational content; no professional advice
EDC content reflects research, participant perspectives, EDC interpretation and/or third-party information. It is provided for informational and educational purposes. It is not legal, regulatory, investment, accounting, tax, cybersecurity, procurement, employment, medical or other professional advice. You are responsible for independent diligence and professional advice appropriate to your circumstances.
10. Accuracy and changes
EDC seeks to provide useful and current information but does not warrant that website content is complete, error-free or suitable for every purpose. Programs, speakers, locations, dates, topics, participants, deliverables and availability may change. EDC may correct or withdraw content, including research outputs, as described in the Attribution and Publication Standard.
11. Third-party services and links
The website may link to or use third-party services. EDC is not responsible for third-party content, security, terms or privacy practices. Use of a third-party service may be subject to that provider's terms.
12. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND PUBLIC CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." EDC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. EDC DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR ANY PARTICULAR BUSINESS RESULT.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EDC AND ITS OWNERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOST PROFITS, LOST BUSINESS, LOST DATA OR REPUTATIONAL HARM ARISING FROM THE WEBSITE OR PUBLIC CONTENT. FOR CLAIMS GOVERNED SOLELY BY THESE TERMS, EDC'S AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID EDC FOR THE SPECIFIC WEBSITE SERVICE GIVING RISE TO THE CLAIM DURING THE PRIOR 12 MONTHS. A PROGRAM-SPECIFIC WRITTEN AGREEMENT MAY PROVIDE A DIFFERENT LIABILITY ALLOCATION.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited, including liability to the extent caused by fraud or other conduct for which applicable law prohibits limitation.
14. Indemnification
To the fullest extent permitted by law, if you use the website or EDC services on behalf of a business or in a professional capacity, you will defend, indemnify and hold harmless EDC from third-party claims, losses and reasonable costs arising from your unlawful use, material breach of these Terms, infringement of another party's rights, or materially false information you knowingly provide, except to the extent caused by EDC's own wrongful conduct.
15. Governing law; venue; jury waiver
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules, except to the extent another law cannot validly be waived. Any court proceeding arising from these Terms must be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to personal jurisdiction and venue there. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY IN ANY ACTION ARISING OUT OF THESE TERMS.
16. Electronic communications and signatures
You agree that electronic records, notices, click-through acceptance and electronic signatures may be used for EDC transactions and have the same effect as paper records and signatures to the extent permitted by law.
17. General
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without EDC's written consent; EDC may assign them in connection with a reorganization, financing, merger, sale or transfer of its business. These Terms and incorporated program-specific terms constitute the agreement for the matters they govern.
18. Changes and contact
EDC may update these Terms by posting a revised version with a new effective date. Material changes will be communicated where required by law or contract.
